Version 1.0.0, in force since 2026-11-01.
These Service Terms add to the Terms of Service of MIDDAG, LLC, a Delaware limited liability company (“MIDDAG”, “we”), for the specific services and products listed below.
1. How these terms apply
1.1 Each section of these Service Terms applies only when the customer (“you”) buys, subscribes to or uses the service or product that the section names.
1.2 If documents conflict, the order of precedence is: first the order or proposal accepted by both parties (“Order”), then these Service Terms, then the Terms of Service.
1.3 Terms in your purchase order, vendor registration or similar document do not apply, as stated in the Terms of Service.
1.4 Words defined in the Terms of Service have the same meaning here.
1.5 The Support Policy and the Service Level Agreement apply to the services that include support or a service level, as stated in the Order.
1.6 If you buy through a MIDDAG reseller, these Service Terms still govern the service between you and MIDDAG, and the reseller cannot change them, as described in the Partner Program.
1.7 MIDDAG may change these Service Terms under the change rules of the Terms of Service, with notice 30 days before the effective date, except for the changes that the Terms of Service allow to take effect immediately.
2. Definitions
2.1 “Order” means the order, proposal, checkout or statement of work, accepted in the MIDDAG Account or signed electronically, that states the service, its scope, its term and its price.
2.2 “Deliverables” means the materials that MIDDAG prepares for you and delivers under an Order for professional services.
2.3 “MIDDAG Materials” means everything that MIDDAG owns or licenses independently of an Order, including its software, plugins, libraries, templates, tools, know-how, documentation and the MIDDAG Methodology, and any improvement to them.
2.4 “Credit” means the unit of consumption of MIDDAG services described in section 3.
2.5 “MIDDAG Plugins” means the family of software products that MIDDAG publishes as plugins and extensions for third-party platforms, and their related services.
2.6 “Infoproduct” means digital content that MIDDAG sells for you to read, watch or apply by yourself, without continuous support.
2.7 “MIDDAG Methodology” means the method of MIDDAG for adopting technical standards, including its pipeline of steps, its standard responsibility matrix and its additional services.
2.8 “Specialized Service” means a service of MIDDAG built on the MIDDAG Methodology and identified as a specialized service in the Order.
2.9 “Diagnosis” means the step of the MIDDAG Methodology in which MIDDAG measures and reports on the state of your organization against the measured items.
2.10 “Custody Data” means the information that MIDDAG keeps about you to provide the services, including proposals, diagnoses, license keys, snapshots, retained evidence and your filled-in responsibility matrix.
3. Credits
3.1 Credits are the single unit of consumption of MIDDAG services, whether the service is performed by people or by systems.
3.2 MIDDAG measures the consumption of each service in Credits, including in offers with a fixed price.
3.3 Each Credit has a reference value in the currency of the Order, which MIDDAG reviews periodically and states in the conversion table that applies to the Order.
3.4 The reference value that applies to your subscription is the one in force when the subscription starts, and it stays the same until the next renewal.
3.5 MIDDAG converts the measured consumption into Credits by a versioned conversion table and debits the result from your Credit balance.
3.6 You can see your Credit balance in the MIDDAG Account, with each grant and each debit.
3.7 Credits are a unit of consumption only, and are not a currency, a deposit or a stored-value instrument.
3.8 The Order states how many Credits you receive, when they are granted and for how long they remain valid.
3.9 When your Credit balance runs out, MIDDAG may stop performing services that consume Credits until you acquire more Credits under an Order.
4. MIDDAG Plugins
4.1 MIDDAG Plugins are a family of products, and each product may have its own edition, plan, extensions and add-ons, as stated in the Order and in the product documentation.
4.2 The license that governs the code of each MIDDAG Plugin is the one stated in that product and its documentation.
4.3 These Service Terms govern the commercial part of the MIDDAG Plugins: support, updates, license keys and hosting.
4.4 Each license covers one installation or domain, unless the Order states otherwise, and each additional installation or domain needs its own license.
4.5 Some features of a MIDDAG Plugin depend on a valid license key, and those features may stop working while the key is invalid, expired or cannot be validated.
4.6 You must not share, resell, disclose or circumvent a license key, or use it on more installations or domains than the Order allows.
4.7 For a subscription, you receive updates and support for the MIDDAG Plugin while the subscription is active and paid.
4.8 When a subscription ends, updates, support and the license key services for that subscription end with it.
4.9 MIDDAG supports MIDDAG Plugins as described in the Support Policy, including the versions that it supports.
4.10 Installation, configuration, customization and hosting of a MIDDAG Plugin are not included in a license unless the Order includes them.
4.11 When MIDDAG hosts a MIDDAG Plugin or the platform on which it runs, the hosting is a separate service under the Order.
4.12 MIDDAG Plugins sold in a third-party marketplace are also subject to the rules of that marketplace that apply to you.
5. Lifetime licenses
5.1 A product sold as “Lifetime” gives you the rights in this section, which prevail over the general rules of section 4 for that product.
5.2 “Lifetime” refers to the life of the product: it lasts while MIDDAG offers that product, and not for the life of the customer or of MIDDAG.
5.3 A Lifetime license is a perpetual license to use each version of the product delivered to you under the license.
5.4 A Lifetime license includes standard care, meaning updates and support for the product, for the standard care period that the product states.
5.5 The standard care period starts on the date of purchase.
5.6 When the standard care period ends, you may renew care by buying extended care under a new Order, for the period and price that the Order states.
5.7 If you do not buy extended care, you keep the right to use the last version delivered to you, without new updates or support.
5.8 An offer may separate the Lifetime part (license and access) from care, and in that case the Order states what care, if any, it includes.
5.9 If MIDDAG discontinues a product sold as Lifetime, MIDDAG gives notice, and you may keep using the last version delivered to you, without refund.
5.10 Lifetime licenses are offered only for software that you install and run yourself and for Infoproducts without continuous support.
5.11 Lifetime licenses are not offered for hosted services, software as a service or any service that MIDDAG operates for you.
5.12 A Lifetime license is personal to the customer who buys it and cannot be transferred, assigned or resold.
5.13 A Lifetime license does not include add-ons, extensions or services that the Order does not list.
6. Professional services
6.1 Professional services include consulting, development, implementation, configuration, training, mentoring and other work that MIDDAG performs for you under an Order.
6.2 The Order states the scope, the Deliverables, the assumptions, the schedule and the acceptance criteria of each professional service.
6.3 Work outside the scope of the Order needs a change to the Order, accepted by both parties, and may change the price and the schedule.
6.4 Unless the Order states a fixed price, estimates of effort and time are estimates only, because the effort depends on conditions that MIDDAG cannot fully foresee.
6.5 You must provide, on time, the access, information, decisions, environments and people that the Order or MIDDAG reasonably requests to perform the service.
6.6 MIDDAG is not responsible for a delay or a failure caused by your delay or failure to meet section 6.5.
6.7 MIDDAG performs professional services remotely, unless the Order states otherwise.
6.8 MIDDAG may use subcontractors to perform professional services and remains responsible for their work under the Order.
6.9 You accept each Deliverable by the acceptance criteria and within the period that the Order states.
7. Intellectual property of Deliverables
7.1 MIDDAG keeps all rights in the MIDDAG Materials, including when MIDDAG uses them to create a Deliverable or when they are part of a Deliverable.
7.2 Unless the Order assigns ownership of a Deliverable to you, MIDDAG owns the Deliverables and grants you a non-exclusive, non-transferable license to use them for the internal purposes of your organization, from full payment of the Order.
7.3 If the Order assigns ownership of a Deliverable to you, the assignment takes effect on full payment of the Order and does not include the MIDDAG Materials in it, which you may use under the license of section 7.2.
7.4 Third-party and open-source components in a Deliverable remain under their own licenses.
7.5 You keep all rights in the materials and data that you provide to MIDDAG, and you grant MIDDAG the right to use them to perform the Order.
7.6 Nothing in an Order prevents MIDDAG from using the general skills, knowledge and experience gained in performing it, or from creating similar work for others without using your confidential information.
8. MIDDAG Methodology
8.1 MIDDAG offers the MIDDAG Methodology as consulting services or as Infoproducts, as stated in the Order.
8.2 The MIDDAG Methodology and all its content are MIDDAG Materials and remain the intellectual property of MIDDAG.
8.3 The Order grants your organization a non-exclusive, non-transferable license to use the content of the MIDDAG Methodology that it covers for the internal purposes of your organization, during the term that the Order states.
8.4 You must not copy, resell, sublicense, publish or provide the content of the MIDDAG Methodology to anyone outside your organization.
8.5 When an Order includes a responsibility matrix, the matrix is an annex to the Order and states what MIDDAG does, what you do and what the parties do together.
8.6 The responsibility matrix in the annex cites the version of the MIDDAG Methodology on which it is based.
8.7 Your organization is responsible for applying the MIDDAG Methodology in its own environment, and the results depend on that application.
8.8 MIDDAG is not responsible for results affected by a deviation from the MIDDAG Methodology, from the responsibility matrix or from the recommendations of MIDDAG that your organization chooses to make.
8.9 When the MIDDAG Methodology is sold as an Infoproduct, your organization is responsible for all of its application, and MIDDAG only publishes the content.
8.10 Infoproducts do not include continuous support, unless the Order states otherwise.
9. Specialized Services
9.1 Each Specialized Service has the scope, cadence, responsibilities and commercial limits that its Order states.
9.2 A Specialized Service requires, as a contractual prerequisite, that your organization adopts the recommendations of MIDDAG from the steps of the MIDDAG Methodology on which the Specialized Service depends.
9.3 The Order states which recommendations the prerequisite covers.
9.4 MIDDAG may decline to start or to continue a Specialized Service while the prerequisite of section 9.2 is not met, and tells you which recommendations are pending.
9.5 MIDDAG is not responsible for results of a Specialized Service affected by recommendations that your organization did not adopt.
9.6 When a Specialized Service has its own responsibility matrix, that matrix is an annex to the Order.
10. Diagnosis
10.1 The Diagnosis measures the items that the Order describes, with the tools that MIDDAG uses for that purpose, and reports their state on the date of the measurement.
10.2 The Diagnosis report states targets for the state of the measured items and does not promise any business outcome.
10.3 The Diagnosis is not an audit, a certification or a legal opinion.
10.4 The accuracy of the Diagnosis depends on the access and the information that you provide.
10.5 The Diagnosis report is a Deliverable under section 7, and the MIDDAG Methodology content in it remains MIDDAG Materials.
11. Custody Data
11.1 MIDDAG keeps Custody Data to provide the services, to support you and to meet its legal obligations.
11.2 MIDDAG protects Custody Data with the measures described in its Security page.
11.3 MIDDAG keeps Custody Data during the commercial relationship and, after it ends, for the retention period that applies to the service under the Terms of Service and the Order.
11.4 At the end of the retention period, MIDDAG deletes or archives Custody Data, unless the law requires MIDDAG to keep it longer.
11.5 Your copy of a filled-in responsibility matrix, a Diagnosis report or another Deliverable belongs to your organization’s own records, and MIDDAG’s copy is Custody Data.
11.6 When Custody Data includes personal data, MIDDAG processes it under the Privacy Policy and, where it applies, the Data Processing Addendum.
